Nature of services

Awareness Media Solutions ("AMS") is a paid investor awareness and marketing firm. AMS is engaged by issuer clients to disseminate information about those issuers to retail investor audiences across multiple digital channels. All content distributed by AMS or its publishing partners on behalf of an issuer client is paid advertising. It is not a recommendation, an offer or solicitation to buy or sell securities, investment advice, or financial analysis.

Regulatory status

AMS is not a registered broker-dealer or investment advisor. Neither AMS nor any of its owners, employees, or affiliates is registered as a securities broker-dealer, investment advisor, or investment advisor representative with the U.S. Securities and Exchange Commission, FINRA, any state securities regulatory authority, the Ontario Securities Commission, the British Columbia Securities Commission, BaFin, or any other self-regulatory organization. AMS does not engage in regulated securities activities. Where any client engagement involves regulated activities (including securities placement), those activities are performed by appropriately registered third parties.

Compensation disclosure

AMS is compensated by issuer clients for the services described on this site. Compensation may be paid in cash. AMS does not accept compensation in the form of issuer securities or stock options as a matter of policy. The specific amount, form, and term of compensation for each campaign is disclosed in the compliance notice published with that campaign in accordance with Section 17(b) of the Securities Act of 1933 and any applicable Canadian or German requirements.

Distribution channels and publishing partners

Distribution of campaign content is performed across a network that includes both AMS-owned and operated channels and selectively curated third-party publishers — newsletters, push and SMS platforms, influencer creators, and earned and paid media outlets. The composition of channels for any individual campaign varies based on issuer needs, geography, and creative fit.

AMS may have economic interests in certain affiliated publishing partners. Where such interests exist and are required by law to be disclosed, they will be disclosed in the campaign-specific compliance notice. AMS encourages investors to review the compliance notice associated with any campaign content they encounter for the complete list of channels carrying that specific campaign and any associated economic relationships.

Engagements through third-party intermediaries

AMS accepts engagements from issuer clients directly and from third-party intermediaries — including investor-relations firms, capital advisors, agencies, and other consultants — engaging AMS on behalf of an issuer or alongside their own services. The identity of the contracting party and the flow of compensation for any campaign is documented and disclosed in the campaign-specific compliance notice in accordance with applicable law.

Trading policy

AMS, its principals, and its directly controlled affiliates do not trade in the securities of an issuer client during the active campaign period for that issuer. This policy is documented in our standard engagement letter and is enforced through internal controls.

No guaranteed results

AMS does not guarantee any particular result for an issuer client. AMS does not guarantee any specific change in stock price, trading volume, market capitalization, retail demand, or any other market metric. Past campaign performance described on this site or in any other AMS materials is not indicative of future results. Every market environment is different and individual campaign performance varies.
